Terms of Services

1. Acceptance
These Terms of Service (the "Terms") govern your access to and use of Talksched, an online meeting scheduling platform operated by Oximarin Ventures LP ("we", "us", the "Company"). By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
Talksched lets registered users create personal booking pages, publish their real-time availability, and receive bookings from clients, colleagues, and other invitees. The Service also integrates with third-party calendar and conferencing providers at the user's request.
3. Eligibility
You must be at least 16 years old to open an account. By creating an account you confirm that you have the legal capacity to enter into these Terms in your jurisdiction.
4. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorised access at support@talksched.app.
5. Acceptable Use
When using the Service you agree not to:
- Use the Service for any unlawful, fraudulent, harmful, or harassing purpose.
- Send unsolicited commercial communications (spam) through booking invitations or reminders.
- Upload, request, or distribute content that is illegal, infringing, defamatory, or obscene.
- Attempt to reverse-engineer, disrupt, overload, or probe the Service for vulnerabilities outside a responsible-disclosure context.
- Resell, sublicense, or make the Service available to third parties except as expressly permitted.
6. Your Content
You retain all ownership of the content you create on the Service (event types, descriptions, booking notes, etc.). You grant us a limited, non-exclusive licence to host, display, and process that content solely to provide the Service to you and your invitees.
7. Fees, Billing and Paid Plans
Pricing. The Pro plan costs €14.90 per month. All prices include applicable VAT. Prices are displayed on the pricing page at the time of purchase and in your dashboard.
Billing cycle. Your subscription is billed monthly, in advance, on the same calendar day each month (the "Renewal Date"). Your first charge occurs when you complete checkout.
Auto-renewal. Your subscription renews automatically at the end of each billing cycle unless you cancel. We will not ask you to re-confirm each month.
Cancellation. You can cancel at any time from Settings → Subscription in your dashboard. Cancellation stops future charges; you keep full access until the end of the current cycle.
14-day money-back guarantee. You can request a full refund of your first payment within 14 days of checkout by emailing support@talksched.app. After 14 days we do not issue partial-month refunds, but you can cancel future renewals at any time. See our Refund Policy for full terms.
Payment processor. Payments are processed by Stripe, Inc. ("Stripe"). By subscribing you agree to Stripe's terms of service. We do not see or store your full card number; Stripe retains it in its PCI-compliant environment. Our statement descriptor is "TALKSCHED".
Failed payments. If a scheduled charge fails, Stripe will automatically retry the charge over the following days. If all retries fail, your account is suspended until payment is restored. We will notify you by email at each step.
Price changes. We may change our subscription price with at least 30 days' notice by email. If you do not wish to continue at the new price, you can cancel before it takes effect.
Chargebacks. Filing a chargeback for a valid, agreed subscription charge may result in account suspension. Please contact support first to resolve billing disputes — it is usually faster.
8. Intellectual Property
The Service, its user interface, logos, source code, and accompanying documentation are the intellectual property of Oximarin Ventures LP or its licensors and are protected by applicable copyright, trademark, and other laws. Nothing in these Terms grants you rights in our intellectual property except as strictly needed to use the Service.
9. Third-Party Integrations
If you connect Google Calendar, Microsoft Outlook, Apple Calendar, Zoom, Google Meet, Microsoft Teams, or other third-party services, those providers have their own terms and privacy practices. We are not responsible for their acts or omissions. Disconnecting an integration stops future data exchange but does not retroactively delete data already synced.
10. Service Availability
We work hard to keep the Service available and aim for 99.5% monthly uptime, calculated excluding scheduled maintenance announced at least 24 hours in advance. The Service is provided "as is" without a formal SLA at this time.
11. Disclaimer of Warranties
To the maximum extent permitted by law, we disclaim all warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that any data will be preserved without loss. Nothing in this clause limits statutory consumer rights that cannot be excluded.
12. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability to you for any claim arising from or related to the Service is limited to the greater of (a) the amount you have paid us in the twelve months preceding the claim, or (b) GBP 50. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, goodwill, data, or business opportunity. Nothing in this clause limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited under applicable law.
13. Indemnity
You agree to defend and indemnify us against any third-party claim arising from your breach of these Terms, your content, or your misuse of the Service.
14. Termination
You may close your account at any time from the Settings page of the dashboard. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unlawful activity. On termination, sections 6, 8, 11, 12, 13, and 16 survive.
15. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated by email to the address on your account and by a notice on the platform at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Scotland, United Kingdom. You agree to the exclusive jurisdiction of the Scottish courts, subject to any mandatory consumer-protection rules in your country of residence.
